1. Agreement to Terms

By accessing and using Welwitschia's AI consulting services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Welwitschia provides AI technology consulting services including but not limited to:

• AI-driven event planning solutions
• AI-powered operations optimization
• Strategic AI implementation consulting
• Custom AI solution development
• Training and support services

3. Consultation Process

Our services begin with a consultation process where potential clients submit project requirements through our contact form. We review all submissions and contact qualified prospects to discuss their needs. Not all inquiries will result in a consulting engagement.

4. Service Agreements

Specific terms for each consulting engagement will be outlined in a separate Service Agreement or Statement of Work (SOW). These documents will detail:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality provisions

5. Payment Terms

Payment terms vary based on the type of engagement:

• Hourly consulting: Invoiced monthly with net 30 payment terms
• Project packages: Payment schedule outlined in SOW
• Lead generation: Payment due upon delivery of qualified leads

All prices are in USD and exclude applicable taxes unless otherwise specified.

6. Intellectual Property

Welwitschia retains ownership of all proprietary methodologies, frameworks, and general knowledge used in providing services. Client-specific deliverables and custom solutions developed exclusively for the client will be owned by the client upon full payment, unless otherwise specified in the SOW.

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. Both parties agree to protect confidential information shared during the engagement. Specific confidentiality terms will be outlined in a separate Non-Disclosure Agreement (NDA) when required.

8. Limitation of Liability

Welwitschia's liability for any claims arising from our services is limited to the total amount paid by the client for the specific engagement. We are not liable for indirect, incidental, or consequential damages including but not limited to lost profits or business interruption.

9. Performance Standards

While we strive to deliver high-quality AI solutions, we cannot guarantee specific business outcomes or performance improvements. Success metrics and expectations will be clearly defined in each SOW.

10. Termination

Either party may terminate a consulting engagement with written notice as specified in the SOW. Upon termination, the client is responsible for payment of all services rendered up to the termination date.

11. Data Protection

We implement appropriate technical and organizational measures to protect client data. Our data handling practices are detailed in our Privacy Policy. Clients are responsible for ensuring they have proper authorization to share data with us for consulting purposes.

12. Force Majeure

Neither party will be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

13. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Odessa, Texas.

14. Modifications

Welwitschia reserves the right to modify these terms at any time. Updated terms will be posted on our website with the revision date. Continued use of our services constitutes acceptance of modified terms.
